Edwards, Angell Palmer & Dodge
Pam is a member of the Firm's Business Law Department and the Private
Equity Practice and Public Finance Groups. She has been with the Firm
since 1987 and currently concentrates primarily on representation of
venture capital funds and other investment vehicles. Pam counsels funds
with respect to fund formation and investment partnership matters, as
well as transactional matters such as initial and follow-on
investments, acquisitions and liquidity events. Pam also represents
companies in connection with developing and executing equity investment
strategies, re-capitalizations, re-structurings and asset sales.
Pam represents domestic and foreign institutional lenders, investment
banks, real estate partnerships and public finance issuers in
connection with complex transactions. Pam counsels these clients on
transactions involving project financings, including affordable
housing, airports, healthcare, education and utility systems. She has
also served as bond counsel, underwriter counsel, derivative counsel,
and disclosure counsel on tax-exempt and taxable transactions. Pam is
also the co-chairperson of the Firm's Teamwork & Diversity
Strategic Committee.
Notable Experience
Pam represents or has represented:
* A venture capital financed start-up which
developed software that designed, configured and monitored optical mesh
networks.
* A publicly traded optical company in connection
with a re-capitalization, divestures of non-strategic subsidiaries
and/or operating divisions, which ultimately resulted in a $1 billion
merger with a Fortune 500 company.
* The parent company and seller of a medical device
operation with foreign and domestic subsidiaries.
* Financial institutions in connection with the sale
of non-strategic assets.
* A strategic fund in the pharmaceutical support
space.
* A water company in connection with the
privatization of the City of Cranston, Rhode Island Water and Sewer
System.
* A convention center authority in connection with
the design, construction and financing of the $323,000,000 hotel and
convention center.
* Start-up technology company in the
optical-switching space.
